Terms of Service

Please read these Terms of Service carefully before using our website or engaging with iSUKERR for any business purpose.

Effective Date: January 1, 2026

B2B Only -- Not a Retail Service

iSUKERR (operated under the brand soundsvibra.com) serves brand owners and wholesalers exclusively. These Terms govern your access to our website and your business engagement with us. They do not apply to retail consumers.

01 Acceptance of Terms

By accessing or using the website located at www.soundsvibra.com (the "Site"), submitting an inquiry, or entering into any business arrangement with iSUKERR ("we," "us," or "our"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"), effective as of January 1, 2026.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Site and refrain from engaging with iSUKERR for any commercial purpose.

These Terms constitute a legally binding agreement between you and iSUKERR. Where a separate written contract governs a specific transaction, that contract shall take precedence over these Terms to the extent of any conflict.


02 Eligibility

Use of this Site and engagement with iSUKERR is limited to:

  • Legally registered businesses, including brand owners, importers, wholesalers, and distributors.
  • Individuals acting on behalf of and duly authorized by such businesses.
  • Persons who are at least 18 years of age and have the legal capacity to enter into binding contracts.

iSUKERR does not offer products or services to individual retail consumers. By using the Site or submitting a business inquiry, you represent and warrant that you meet these eligibility requirements.


03 Services Overview

iSUKERR is an audio product manufacturer with factories located in Shenzhen and Dongguan, China. Through the Site and direct business engagement, we provide:

Product Manufacturing

Wireless headphones, Bluetooth headsets, waterproof earbuds, kid headsets, and phone accessories.

OEM / ODM Development

Collaborative product development from ID drawings to finished goods, supported by in-house structural and audio engineers.

Private-Label Services

Branding, packaging customization, and labeling for brand owners and wholesalers.

Quality Inspection

In-process and pre-shipment inspection with photo and video documentation for full transparency.

All services described on this Site are subject to availability, minimum order requirements, and the execution of applicable commercial agreements.


04 OEM / ODM Engagements

OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) projects are governed by separate written agreements negotiated between iSUKERR and the client. The following general terms apply to all such engagements unless superseded by a signed contract:

4.1 Project Scope. The scope of work, including product specifications, materials, certifications, tooling requirements, and delivery milestones, shall be defined in a mutually agreed project brief or purchase order prior to commencement of production.

4.2 Samples and Prototypes. iSUKERR may provide samples or prototypes for client approval before mass production. Sample costs and lead times will be communicated in advance. Approval of a sample by the client constitutes authorization to proceed to production based on that specification.

4.3 Tooling Ownership. Unless otherwise agreed in writing, tooling developed specifically for a client's product remains the property of iSUKERR until full payment of all tooling fees has been received. Tooling ownership may be transferred to the client upon written agreement and full settlement.

4.4 Design Submissions. When clients submit proprietary designs, artwork, or specifications for production, the client represents and warrants that they hold all necessary rights to such materials and that their use does not infringe upon any third-party intellectual property rights. iSUKERR shall not be liable for infringement claims arising from client-supplied designs.

4.5 Certification Compliance. iSUKERR will endeavor to supply products that comply with applicable certifications (including CE and MSDS) as agreed in the project scope. Clients are solely responsible for ensuring that products comply with all applicable regulations in their target markets, including but not limited to import regulations, labeling laws, and safety standards.


05 Orders & Payment

5.1 Order Confirmation. An order is considered confirmed only upon iSUKERR's written acceptance of a purchase order and receipt of any required deposit. Submission of an inquiry or purchase order through the Site does not constitute a binding order until confirmed in writing by iSUKERR.

5.2 Pricing. All prices are quoted in the currency specified in the relevant quotation or proforma invoice and are valid for the period stated therein. iSUKERR reserves the right to adjust pricing for subsequent orders to reflect changes in material costs, labor, logistics, or exchange rates.

5.3 Payment Terms. Payment terms will be specified in the applicable proforma invoice or purchase agreement. Standard terms typically require a deposit before production commences and the balance prior to or upon shipment. iSUKERR reserves the right to withhold shipment until full payment is received.

5.4 Cancellations. Orders may not be cancelled after production has commenced without the written consent of iSUKERR. In the event of a client-initiated cancellation, the client may be liable for costs incurred up to the point of cancellation, including materials, tooling, and labor.

5.5 Taxes and Duties. All prices are exclusive of any applicable taxes, customs duties, import fees, or other charges imposed by any governmental authority. The client is solely responsible for all such charges in their country of import.


06 Intellectual Property

6.1 iSUKERR IP. All content on this Site -- including but not limited to text, images, graphics, product designs, logos, trademarks, and technical documentation -- is the intellectual property of iSUKERR or its licensors and is protected by applicable intellectual property laws. No content may be reproduced, distributed, or used for commercial purposes without prior written authorization from iSUKERR.

6.2 Client IP. iSUKERR acknowledges that designs, artwork, brand assets, and specifications submitted by clients remain the property of the respective client. iSUKERR will use client-supplied materials solely for the purpose of fulfilling the agreed project and will not disclose or use such materials for any other purpose.

6.3 ODM Designs. Product designs, molds, and engineering solutions developed independently by iSUKERR remain the exclusive intellectual property of iSUKERR. A client's use of an ODM product does not confer ownership of the underlying design or tooling unless explicitly transferred in a signed written agreement.

6.4 License to Manufacture. By submitting a project brief or purchase order incorporating client-owned designs, the client grants iSUKERR a limited, non-exclusive, royalty-free license to use those designs solely for the purpose of manufacturing and delivering the agreed products.


07 Confidentiality

Both parties acknowledge that in the course of their business relationship, each may receive or have access to confidential information of the other party, including but not limited to product specifications, pricing, business plans, client lists, technical data, and manufacturing processes ("Confidential Information").

Each party agrees to: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely for the purpose of performing obligations under these Terms or the applicable project agreement; and (c) not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.

These confidentiality obligations shall survive the termination of any business relationship between the parties for a period of three (3) years. Where a separate Non-Disclosure Agreement (NDA) has been executed, the terms of that NDA shall govern.


08 Quality & Inspection

iSUKERR is committed to delivering products that meet agreed specifications. Our standard quality process includes:

  • In-Process Inspection: Quality checks conducted during production to identify and address defects before goods are completed.
  • Pre-Shipment Inspection: A final inspection of finished goods prior to shipment, with photo and video documentation provided to the client.

8.1 Defect Claims. Any claims regarding product defects or non-conformance must be submitted in writing within fourteen (14) days of the client's receipt of goods. Claims must include a description of the alleged defect, supporting photographs or evidence, and the quantity of affected units.

8.2 Acceptable Tolerances. Minor variations in color, dimensions, or finish that fall within industry-standard tolerances and do not affect product functionality shall not constitute a defect.

8.3 Remedies. Where a valid defect claim is accepted by iSUKERR, the available remedies shall be limited to, at iSUKERR's sole discretion: replacement of defective units, issuance of a credit note, or a partial refund. iSUKERR shall not be liable for consequential losses arising from defective goods.


09 Warranty & Limitation of Liability

9.1 Limited Warranty. iSUKERR warrants that products will conform to the agreed specifications at the time of shipment. This warranty does not cover damage resulting from misuse, unauthorized modification, improper storage, or normal wear and tear.

9.2 Disclaimer. Except as expressly stated in these Terms or a signed project agreement, iSUKERR makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 Limitation of Liability. To the maximum extent permitted by applicable law, iSUKERR's total liability to you for any claim arising out of or in connection with these Terms or any transaction shall not exceed the total amount paid by you to iSUKERR for the specific order giving rise to the claim.

9.4 Exclusion of Consequential Damages. In no event shall iSUKERR be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of business, or reputational harm, even if iSUKERR has been advised of the possibility of such damages.

9.5 Force Majeure. iSUKERR shall not be liable for any delay or failure to perform obligations resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, supply chain disruptions, or pandemics.


10 Prohibited Use

When using this Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of applicable laws or regulations.
  • Submit false, misleading, or fraudulent information in any inquiry or communication.
  • Attempt to gain unauthorized access to any part of the Site or its underlying systems.
  • Reproduce, scrape, or systematically extract content from the Site without prior written permission.
  • Impersonate any person or entity, or misrepresent your affiliation with any organization.
  • Transmit any malicious code, viruses, or other harmful software via the Site.
  • Use iSUKERR's name, trademarks, or branding in any manner not expressly authorized in writing.

iSUKERR reserves the right to terminate access to the Site and refuse future business engagements with any party found to be in violation of this section.


11 Privacy

iSUKERR collects and processes business contact information submitted through the Site (such as company name, contact name, and communication details) solely for the purpose of responding to inquiries and facilitating business transactions.

We do not sell, rent, or share your business information with unaffiliated third parties for marketing purposes. Information may be shared with service providers and logistics partners strictly as necessary to fulfill agreed orders.

By submitting an inquiry or engaging with iSUKERR, you consent to the collection and use of your business contact information as described above. A full Privacy Policy governing data handling practices is available on request.


12 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

12.1 Negotiation. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or any business transaction between the parties, both parties agree to first attempt to resolve the matter through good-faith negotiation within thirty (30) days of written notice of the dispute.

12.2 Arbitration. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Shenzhen, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The language of arbitration shall be English. The arbitration award shall be final and binding on both parties.

12.3 Jurisdiction. Notwithstanding the above, iSUKERR reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.


13 Changes to These Terms

iSUKERR reserves the right to update or modify these Terms at any time. When changes are made, the revised Terms will be posted on this page with an updated effective date. It is your responsibility to review these Terms periodically.

Your continued use of the Site or engagement with iSUKERR after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Site and cease business engagement with iSUKERR.

For material changes that affect ongoing contractual arrangements, iSUKERR will make reasonable efforts to provide advance notice through the Site.
